Responsibilities:
•Ensure compliance with securities laws applicable to publicly-held companies
•Aid in the preparation of all SEC related filings
•Research and answer questions on general securities matters and corporate governance, including compliance with NASDAQ rules and the Sarbanes-Oxley Act
•Conduct merger & acquisition due diligence and related contract work as assigned
•Analyze and research legal issues and present clear recommendations
•Review, negotiate and draft contracts, corporate transactions and related documents
•Provide frontline legal support to various business units within ISO
•Ad-hoc projects as assigned
Qualifications:
• JD degree from an accredited law school
• 5 years of corporate/securities related legal experience required including corporate governance, SEC filings and compliance and due diligence
• Experience with contract management including drafting and negotiating
• Ability to work in a collaborative environment and work proactively with business units
• Excellent project management skills with strong attention to detail
• Outstanding interpersonal and relationship building skills
• Possess a high level of integrity and sensitivity to confidential information
• Strong organization, effective planning, problem solving, and analytical skills required
• Superior communication skills, both oral and written, and the ability to liaise comfortably with all levels of management
• Ability to be flexible and adapt to changing situations or urgent requests that may arise with little or no notice
• Must exhibit initiative and assertiveness in obtaining information needed to proceed with projects and accomplish tasks with minimal supervision
