The Corporate Business Development Group has a full time position available for a Management Associate. This position will be responsible for monthly and quarterly reporting, coordination of executive board meetings, acquisition models and distribution agreements, partnering with corporate finance and accounting groups on post-close required activities, and global vendor relations tasks.
 
Essential Duties & Responsibilities:
Liaison between business development and corporate finance. Responsible for the review of acquisition/business development models and purchase agreements/distribution agreements. Reviews included identifying accounting implications of proposed terms and proper application in the financial models. Additionally, responsible for identifying unusual trends or debatable assumptions in the financial models.
Responsible for working with the CFO and his delegates on interpreting US GAAP guidelines impacting business development activity and proper method of applying to transactions in process.
Participant in business development/infrastructure meetings to assist in open communication between groups on status of acquisitions and other business development activity.
Responsible for preparation of initial internal valuation.
Lead contact for third party professional services firm for independent valuation of identified intangibles as required by purchase accounting rules. Review of final third party valuations.
Work with business owner of acquisitions to respond to information requests supporting intangible valuations.
Act as "partner" of relationship with third party valuation professionals responsible for working with corporate finance in ensuring proper opening balance sheet and post close accounting is completed properly and is in line with terms of the final agreements and financial projections.
Review of earnouts to be paid on acquisitions closed.
Monthly review of M&A cost center, monitoring of expenses and analysis of actuals to budget.
Monthly Risk & Opportunity submission to financial planning analyzing budget and prior R&O submissions to forecast for remainder of fiscal year.
Preparation of worksheets detailing quarterly acquisition model projections compared to actuals for transactions completed within trailing 12 months.
 Accumulation of actual results for distribution agreements entered into within trailing 12 months.
Communication with corporate finance on acquisition results.
Acquisition Risk and Opportunity Committee - includes the coordination of materials for distribution to AROC members and meeting participants, review of materials prior to meetings, recording of minutes and follow-up on take-away action items.
Coordination of information to complete presentation to EMC members. Review of data being presented including reconciliation to active acquisition models.
 Responsible for various modeling requests and other special projects
 Point of contact for business development accounting questions and impact on negotiations.
Coordinator of global vendor summary reports used in preparing executive management for trade shows and other scheduled vendor meetings.
Responsible for gathering international and domestic vendor information and point of contact for working with priority vendors.
Qualifications
 
5-7 years of post graduate Investment Banking or Public Accounting
Experience leading deals and managing full life cycle of M&A 
Advanced degree (MBA) in Finance or Accounting
CPA preferred
International travel required
